Acceptance of Terms
By accessing or using any eGovern platform, website, or service, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you are entering into these terms on behalf of an organisation, you represent that you have the authority to bind that organisation. If you do not agree to these terms, you must not use our services.
Description of Services
eGovern provides digital governance infrastructure, data management platforms, and strategic advisory services to government agencies, public institutions, and enterprise clients. Our services include but are not limited to:
- Cloud-hosted and on-premise software platforms
- Data integration and analytics services
- Security and compliance tooling
- Professional services and advisory engagements
- Training and knowledge transfer programmes
Permitted Use
You agree to use our services only for lawful purposes and in accordance with these terms. You must not:
- Use the services in any way that violates applicable laws or regulations
- Attempt to gain unauthorised access to any part of our systems
- Transmit malicious code, viruses, or disruptive data
- Reverse engineer, decompile, or disassemble any software component
- Resell or sublicense access to our services without written authorisation
- Use the services to process data beyond the scope of your agreement
Intellectual Property
All intellectual property rights in our platforms, software, documentation, and content are owned by eGovern Inc. or its licensors. Nothing in these terms grants you any rights to our intellectual property except the limited licence to use our services as described in your service agreement. Any feedback, suggestions, or improvements you provide may be used by eGovern without obligation or compensation.
Confidentiality
Each party agrees to maintain the confidentiality of the other party's non-public information and to use it only for the purposes of the service relationship. This obligation survives termination of the service agreement for a period of five years, except for information that becomes publicly available through no fault of the receiving party.
Limitation of Liability
To the maximum extent permitted by law, eGovern shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total aggregate liability for any claim shall not exceed the fees paid by you in the twelve months preceding the claim. These limitations apply regardless of the form of action and whether or not eGovern has been advised of the possibility of such damages.
Termination
Either party may terminate a service agreement in accordance with its terms. eGovern reserves the right to suspend or terminate access immediately if you breach these terms, engage in fraudulent activity, or pose a security risk to our systems or other clients. Upon termination, your right to use the services ceases immediately and we will handle your data in accordance with our data retention policy and any applicable data processing agreement.
Governing Law
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Washington, D.C., except where prohibited by applicable law. Government clients may be subject to jurisdiction-specific terms as set out in their individual service agreements.
Modifications
We reserve the right to modify these terms at any time. We will provide at least 30 days' notice of material changes via email or in-platform notification. Continued use of our services after the effective date of changes constitutes acceptance of the revised terms.
